Acceptable Use Policy

1. Purpose

Dayda is a managed marketplace for proprietary AI training data. Our goal is to create a trusted, legally clean environment for data transactions. This AUP protects the integrity of our platform, the rights of data subjects, and the interests of all users.

2. Prohibited Data Listings

You may not list, offer, or transfer any data that:

• Infringes third-party rights: Data that violates copyrights, patents, trademarks, trade secrets, or other intellectual property rights of any third party.
• Lacks legal provenance: Data obtained through unauthorized web scraping, unauthorized access, breach of contract, or other unlawful means.
• Contains unconsented PII: Personal information collected without a valid lawful basis or where required consent was not obtained.
• Contains sensitive personal data: Data revealing racial or ethnic origin, political opinions, religious beliefs, genetic data, biometric data for identification, health data, or sex life/orientation data, unless collected with explicit consent as required under applicable law.
• Involves minors: Data collected from children under 13 (or the relevant age of digital consent in your jurisdiction) without proper verifiable parental consent.
• Is malicious: Malware, viruses, ransomware, Trojan horses, worms, or any other malicious code.
• Contains government-issued identifiers: Social Security numbers, passport numbers, driver's license numbers, or similar government identifiers, unless properly de-identified.
• Contains financial account information: Bank account numbers, credit card numbers, or payment card data.
• Contains protected health information: PHI under HIPAA, unless properly de-identified in accordance with the HIPAA Privacy Rule.
• Is misleading or fraudulent: Data that is intentionally misrepresented, fabricated, or designed to mislead Buyers about its origin, quality, or content.
• Violates applicable law: Any data whose collection, transfer, or use would violate any applicable law, regulation, or governmental order.

3. Prohibited Platform Activities

You may not engage in any of the following activities on the platform:

• Circumventing fees: Attempting to transact outside of Dayda's platform to avoid commissions or fees.
• Misrepresentation: Falsely representing your identity, credentials, affiliation, or the nature of your data.
• Impersonation: Impersonating Dayda, its employees, or other users.
• Harassment: Harassing, threatening, or abusing other users or Dayda personnel.
• Unauthorized access: Attempting to access accounts, systems, or data without authorization.
• Disruption: Interfering with the operation of the platform, including denial-of-service attacks, spamming, or scraping.
• Data mining: Using automated tools to extract data from the platform without express permission.
• Reverse engineering: Reverse-engineering, decompiling, or disassembling the platform.
• Competitive misuse: Using the platform to gather competitive intelligence outside of legitimate marketplace transactions.
• Circumventing security: Bypassing or attempting to bypass any security measures, access controls, or authentication mechanisms.

4. Seller Responsibilities

As a Seller on Dayda, you are responsible for:

• Ensuring you have all necessary rights and consents to license the data you list.
• Providing accurate and complete information during the vetting process.
• Responding promptly to Dayda's inquiries about provenance, consent, and data quality.
• Notifying Dayda immediately if any legal issue arises regarding a listed dataset.
• Complying with all applicable data protection laws in the jurisdictions where your data subjects reside.
• Honoring the terms of any executed Data Purchase Agreement.

5. Buyer Responsibilities

As a Buyer on Dayda, you are responsible for:

• Providing accurate information about your company and intended use case.
• Using sample data solely for evaluation purposes under the executed NDA.
• Not attempting to reconstruct or re-identify individuals from de-identified data.
• Complying with all licensing terms and restrictions in the executed Data Purchase Agreement.
• Not using licensed data for any purpose not explicitly permitted in the DPA.
• Not reselling or redistributing raw data without the Seller's express permission.

6. Monitoring and Enforcement

Dayda actively monitors the platform for compliance with this AUP. We reserve the right to:

• Review any data, content, or communications on the platform (subject to our Privacy Policy).
• Investigate any suspected violation of this AUP.
• Remove or disable access to any listing or content that violates this AUP.
• Suspend or terminate any user's access to the platform for violations.
• Report illegal activity to appropriate law enforcement authorities.
• Pursue legal remedies, including damages and injunctive relief.

7. Reporting Violations

If you believe that a listing on Dayda violates this AUP or applicable law, please report it immediately to hello@dayda.co. Include the listing name, the specific violation you believe has occurred, and any supporting evidence. Dayda will investigate all reports and take appropriate action.

8. Consequences of Violation

Violation of this AUP may result in one or more of the following actions, at Dayda's sole discretion:

• Removal of the offending listing.
• Permanent suspension of your account.
• Forfeiture of any pending or future commissions.
• Referral to law enforcement or regulatory authorities.
• Legal action for damages, including attorneys' fees.

9. Changes to This Policy

We update this AUP as needed to address new legal requirements, platform developments, or emerging risks. Material changes will be communicated by posting the updated policy on this page.
